American Airlines y US Airways crean con su fusión la mayor aerolínea del mundo

AMR Corporation, matriz de American Airlines (AA), y US Airways han formalizado este lunes el último paso para la fusión de ambas aerolíneas estadounidenses, creando la mayor aerolínea del mundo, por delante de United Continental -fruto de la unión en 2010 de las otras dos compañías que le dan nombre- y de Delta Airlines, un gigante valorado en 18.000 millones de dólares (13.116 millones de euros).

Con la operación, ambas compañías prevén lograr unas sinergias de 1.000 millones de dólares (728,6 millones de euros) anuales para el año 2015.

El nuevo grupo, que mantiene el nombre de American Airlines y tendrá su sede en Fort Worth (Texas), cotiza desde hoy en el mercado electrónico Nasdaq bajo el símbolo ALL.

«Hoy es un gran día para American Airlines y US Airways con la culminación legal de nuestra fusión», señalaron ambas empresas en un comunicado conjunto, en el que explicaron que funcionarán como dos aerolíneas separadas durante un periodo de transición.

US Airways tiene previsto salir de la alianza aérea Star Alliance el próximo 30 de marzo para integrarse en la alianza Oneworld de la que forma parte AA, socia de Iberia y British Airways.

A finales de noviembre, el Tribunal de quiebras de EE.UU. dio luz verde al acuerdo alcanzado entre AMR, US Airways y el Departamento de Justicia de EE.UU., para autorizar la fusión entre ambas compañías, de forma que AA pueda salir de su situación de bancarrota y concluir el proceso de unión con su rival.

El Departamento de Justicia alcanzó a mediados de agosto un acuerdo con American Airlines y US Airways para autorizar su fusión que exigía a cambio a las aerolíneas varias inversiones en grandes aeropuertos y ceder parte de sus “slots”.

Plan de fusión
En febrero de este año, AMR, la matriz de American Airlines -en suspensión de pagos desde noviembre de 2011- y US Airways anunciaron un plan para fusionar ambas compañías. Los accionistas de US Airways aprobaron el pasado 17 de julio la propuesta del consejo de administración para su fusión con AA, con el 99% de los votos emitidos.

El nuevo gigante aéreo contará con una plantilla de 94.000 empleados, una flota de 950 aviones, y operará
unos 6.500 vuelos diarios,
con una facturación de casi 39.000 millones de dólares (28.415 millones de euros).

El acuerdo contemplaba un trasvase de acciones en base al plan de reestructuración de AA, que sacaría a la compañía de la protección de bancarrota a la que está sometida actualmente.

Los acreedores de AA se harían con cerca del 72% de las acciones de la compañía resultante, mientras que los accionistas de US Airways obtendrían el 28% restante.

AMR Corporation, parent company of American Airlines (AA) and US Airways finalized the last part of the merger on Monday between both U.S. airlines thereby creating the largest airline company in the world, placing themselves ahead of United Continental -product of the 2010 union that brought the two companies in the name together- and Delta Airlines, a giant valued at $18 billion (13.116 billion euros).

With the operation, both companies will be able to create annual synergies worth up to “1 billion dollars ($728.6 million euros) by the year 2015.

The new group, which maintains the name American Airlines and will have its headquarters in Fort Worth (Texas), is listed on the electronic stock market Nasdaq with the symbol ALL.

“Today is a great day for American Airlines and US Airways with the legal culmination of our merger,” said both businesses in a joint statement in which they explained that both airlines will be functioning separately during the transition period.

US Airways plans to leave the airline alliance Star Alliance next March 30th to become part of the Oneworld alliance that includes AA, who partners with Iberia and British Airways.

At the end of November, the U.S. Bankruptcy Court gave the green light on the agreement reached between AMR, US Airways and the U.S. Department of Justice to authorize the merger between the two companies, which means that AA can come out of bankruptcy and conclude the unification process with its rival.

The Department of Justice reached an agreement in the middle of August with American Airlines and US Airways to authorize their merger under the conditions that the airline companies make several investments in large airports and give up some of their “slots”.

The merger plan
In February of this year, AMR, parent company of American Airlines –in default on its payments since 2011- and US Airways announced their plan to merge both companies. US Airway shareholders approved the proposal from the board of directors last July 17th for the merger with AA, with 99% of the votes in favor.

The new airline giant will have a workforce of 94,000 employees, a fleet of 950 airplanes and will be operating some 6,500 flights daily, with revenues of almost $39 billion (28.415 billion euros).

Contemplated in the agreement was a share transfer based on AA´s restructuring plan, which would bring the company out of the bankruptcy protection it currently has.

AA´s creditors would take close to 72% of the shares of the new company, while US Airways shareholders would obtain the rest of the 28%.
