La CNMV pide informar a clientes sobre productos complejos y las posibles pérdidas

La Comisión Nacional del Mercado de Valores (CNMV) recomienda como una buena práctica "especialmente adecuada" para productos financieros complejos, que se proporcione a los clientes, con carácter previo a su contratación, información sobre la probabilidad de incurrir en pérdidas.

Esta recomendación se recoge en un dictamen de la ESMA, la autoridad bursátil europea, sobre la comercialización de instrumentos financieros complejos y que la CNMV asume como propia y, por tanto, aplicará a las entidades de servicios de inversión en productos estructurados y derivados OTC.

"Asimismo, cuando alguna característica del producto limite los resultados que se pueden obtener, también debería señalarse dicha circunstancia y el límite fijado", según un comunicado de la CNMV, en el que recomienda evitar el uso de expresiones que puedan generar confusión, tales como los términos “depósitos estructurados”.

La ESMA ha publicado un dictamen referido a prácticas MiFID para la comercialización de instrumentos financieros complejos, y otro referido a buenas prácticas para el diseño, emisión y comercialización de productos estructurados.

La CNMV ha confirmado a las entidades que prestan servicios de inversión que tendrá en cuenta en su labor supervisora los contenidos de ambos dictámenes de ESMA en su integridad. De ellos, el supervisor español ha subrayado que son de "especial relevancia" los requisitos organizativos y de control interno relativos a instrumentos complejos, y los aspectos sobre información a clientes, seguimiento por la función de cumplimiento normativo y mejor ejecución.

La ESMA recomienda que se informe a los clientes minoristas de las dificultades que pueden existir para obtener liquidez, de las consecuencias potenciales de intentar vender o cancelar anticipadamente el instrumento financiero y, en particular, del impacto que las comisiones o cargos de cancelación pueden tener sobre el importe a reembolsar.

Cancelaciones ante mercados no líquidos

Adicionalmente, la autoridad europea identifica como una buena práctica que, en ausencia de un mercado líquido, se ofrezca a los clientes la posibilidad de cancelar anticipadamente su inversión, siempre que se definan de inicio metodologías objetivas.

Al margen de los dictámenes de la ESMA, la CNMV ha recomendado remitir más información a los clientes de instrumentos financieros complejos, con el fin de que les permita conocer la situación de los productos contratados.

En concreto, el supervisor considera de "especial interés" incluir en los estados periódicos de instrumentos financieros remitidos a clientes el dato del valor efectivo, de mercado o, en su defecto, una estimación del valor razonable del instrumento a la fecha de referencia de la información.

"Cuando se realice la estimación del valor teórico, debería ajustarse a metodologías generalmente aceptadas y resultar consistente con las utilizadas para valorar la posición propia de la entidad en instrumentos similares", explica la CNMV.

El organismo presidido por Elvira Rodríguez además aconseja que dicha información se remita de forma trimestral a los clientes minoristas. Esta periodicidad previsiblemente quedará fijada con carácter obligatorio por la modificación en curso de la normativa MiFID.

The Spanish Securities Market Commission (CNMV) has made a recommendation for good practices that is “especially fitting” for complex financial products to provide customers with information about the probability of incurring losses before they are purchased.

This recommendation comes from a ruling from the ESMA, European Securities and Markets Authority, on the selling of complex financial instruments, which the CNMV has taken for its own and, therefore, will be applied to entities that provide investment services in structure products and over the counter derivatives.

“Therefore, when certain characteristics of the product limit the results than can be obtained, this circumstance should be presented and the limit fixed,” said the CNMV statement, in which it recommended avoiding the use of expressions that could create confusion, such as terms like “structured deposits”.

The ESMA published the ruling in reference to the MiFID (Markets in Financial Instruments Directive) practices for the commercialization of complex financial instruments, and in reference to the good practices for the design, issuance and selling of structured products.

The CNMV has told financial institutions that provide investment services that it will take into account their supervision efforts from both ESMA rulings in their integrity. Of those two, the Spanish supervisor stressed that organizational and internal control requirements related to complex instruments, and aspects related to providing investors with information, monitoring rule following and improved execution.

The ESMA recommends that retail customers are informed about the difficulties that may exist in obtaining liquidity, the potential consequences of trying to sell or cancel the financial instrument early and, in particular, the impact that the commissions or cancelation fees may have on the reimbursable amount.

Cancelations in non-liquid markets
Additionally, the European authority signaled a good practice that, in the absence of market liquidity, offers clients the possibility to cancel their investment before its maturity, if and when specific methodologies are defined in the beginning.

Aside from the ESMA´s rulings, the CNMV has recommended remitting more information to clients on complex financial instruments with the objective of allowing them to understand the situation of the contracted products.

Specifically, the supervisor has a “special interest” in including the current standings of the financial instruments that are remitted to customers with information about its cash value, market value or, in its absence, an estimation of a reasonable value of the instrument on the date of reference included in the information.

“When an estimation is made on the theoretical valuation, it should be adjusted by generally accepted methodologies and be consistent with the values used by the institution to evaluate its position compared to similar instruments,” explained the CNMV.

The organization headed by Elvira Rodríguez also advises that the information be remitted quarterly to retail customers. It´s possible this timeframe will be fixed in a mandatory nature because of the modification being made to the MiFID rules.
