El Parlamento cubano aprueba la nueva Ley de Inversión Extranjera

El Parlamento cubano ha aprobado este sábado la Ley de Inversión Extranjera, que "ofrece garantías" a los capitales foráneos al tiempo que "mantiene el respeto y la defensa de la soberanía del país sobre sus recursos", con el fin de "fortalecer el desarrollo económico y social de la isla caribeña, lo cual significa también consolidar el proyecto social socialista, próspero y sostenible".

Se trata del mismo fin que alumbró la Ley de Inversión Extranjera de 1995, cuando también se pretendía superar la crisis económica que se desató en Cuba a raíz del desmembramiento de la URSS, en 1991, debido a la gran dependencia soviética del país.

La nueva Ley de Inversión Extranjera tratará de conseguir dicha meta combinando "las garantías al inversor foráneo" con "el respeto y defensa de la soberanía de Cuba sobre sus recursos humanos, naturales, tecnológicos y de mercados en los sectores productivos y de servicios".

Cómo atraer al inversor extanjero
La clave para atraer capitales foráneos es la flexibilización de las exigencias fiscales a las empresas extranjeras que quieran invertir en la isla caribeña, que sólo tendrán como límite el respeto a los recursos y la soberanía nacionales.

A partir de ahora, las empresas extranjeras que inviertan en Cuba gozarán de una exención en el pago del impuesto sobre los ingresos personales durante ocho años y gozarán de una tasa especial del 15 por ciento, en lugar del 30 por ciento anterior. Además, las tasas por el uso de mano de obra desaparecen.

En cuanto a los beneficios de sectores relacionados con las materias primas, especialmente la minería y el petróleo, la nueva norma jurídica rebaja al 22,5 por ciento la tributación, la mitad respecto a su antecedente legal.

Otro de los avances legislativos es que se aceleran notablemente los procesos burocráticos para invertir en Cuba, que con el texto ya derogado podían demorarse meses hasta que el proyecto llegaba finalmente al Consejo de Estado y de Ministros, donde requería de al menos otros 60 días. La nueva ley agiliza todos estos trámites, de modo que los pequeños negocios podrán ser aprobados por orden ministerial en 45 días.

También permitirá progresos en lo tocante a la propiedad. En el caso de las personas extranjeras, aunque la antigua normativa permitía que adquirieran el dominio de bienes en territorio cubano, ponía varias trabas que ahora, según analistas económicos, se verán superadas.

En cuanto a los cubanos residentes en el exterior, la legislación de 1995 no les excluía de poseer propiedades en la isla, pero en la práctica casi nunca se les permitió invertir. Aunque se mantiene esa ambigüedad, también se espera que haya mejoras.

No obstante, la nueva norma jurídica no permitirá en ningún caso que estos propietarios se beneficien de las ventajas fiscales que, en cambio, sí concede a empresas mixtas o a uniones empresariales entre compañías extranjeras y cubanas.

Otra de las grandes novedades es que los cubanos que participen en empresas estatales y cooperativas no agrícolas, así como aquellos que dispongan de fincas privadas, estarán autorizados a formar sus compañías junto a inversos extranjeros.

Cuestiones laborales
Las empresas mixtas y las otras formas de asociación deberán seguir contratando mano de obra a través de las gestoras estatales, las cuales se encargarán de cambiar a pesos cubanos los salarios que los trabajadores deberán seguir recibiendo en pesos convertibles.

En materia de controversias entre trabajadores y empleadores, será el Gobierno cubano quien se reserve la potestad de dirimir cualquier tipo de conflicto en suelo cubano, salvo que los convenios fijen otra sede.

Por otro lado, las empresas podrán seguir exportando e importando sin necesidad de que intervenga ningún órgano del Estado u otros intermediarios.

Zona especial de desarrollo de Mariel
La Zona Especial de Desarrollo de Mariel, un puerto de contenedores en el oeste de la isla, dispondrá de sus propias leyes fiscales, que son bastante más favorables que las estipuladas para el resto de empresas y actividades en la nueva Ley de Inversión Extranjera.

El puerto de Mariel es uno de los proyectos más ambiciosos del Gobierno de Raúl Castro para modernizar la economía de la isla caribeña abriendo espacios a la iniciativa privada y al capital extranjero.

El Ejecutivo pretende levantar allí un gran parque industrial en el que las empresas extranjeras tendrán generosas exenciones fiscales y podrán aprovecharse de la mano de obra cualificada que existe en el país iberoamericano.

Brasil es una de las principales fuentes de financiación extranjera en Cuba. Para la modernización del puerto de Mariel, su Banco Nacional de Desarrollo Económico y Social (BNDES) ya ha invertido unos 700 millones de dólares, cantidad que podría aumentar dependiendo del número de empresas brasileñas que vayan sumándose a las obras.

On Saturday the Cuban Parliament passed the Foreign Investment Law, which “offers guarantees” on foreign capital while “maintaining the respect and defense of the sovereignty of the country´s resources”, in order to “strengthen the economic and social development on the Caribbean island, also leading to the consolidation of the socialist, prosperous and sustainable social project.

This is the same objective held in the 1995 Foreign Investment Law, when the country was trying to overcome the economic crisis that gripped Cuba because of the dismemberment of the USSR in 1991 given the country´s great soviet dependence.

The new Foreign Investment Law will try to achieve that goal by combining “guarantees for foreign investors with “the respect and defense of the sovereignty of the country´s human, natural, technological and market resources in productive and service sectors”.

How to attract foreign investors
The key in attracting foreign capital is the flexibility of the fiscal demands on foreign businesses that want to invest in the Caribbean island, which will only be limited by being respectful of the national resources and sovereignty.

From now on, foreign companies that invest in Cuba will enjoy an exemption from paying personal income tax for eight years and a special 15% tax instead of the previous 30%. Also, taxes on manual labor also will disappear.

In terms of the profits from sectors related to natural resources, especially in mining and oil, the new law lowers the tax rate to 22.5%, half of what it was before.

Another one of the advances is that the bureaucratic processes to invest in Cuba will be sped up considerably, which used to take months for the project to reach the State Council and Council of Ministers, where it would require at least another 60 days to process. The new law makes the paperwork easier so that small businesses can get approval in 45 days by ministerial order.

The law will also allow for steps forward to be made in terms of property. For foreigners, although the old law allowed them to acquire the ownership of goods within Cuban territory, there were many barriers that, according to economic analysts, will now be removed.

For Cubans living abroad, the 1995 legislation didn´t exclude them from possessing property on the island but, in practice, they were almost never allowed to invest. Even though this specific ambiguity is maintained, it is hoped that there will be improvements.

However, the new law will not allow under any circumstances for these owners to benefit from tax advantages that, in turn, it will concede to mixed companies or joint-ventures between Cuban and foreign firms.

Another of the big novelties is that Cubans who participate in State-run companies and non-agricultural cooperatives, as well as those who have private land, will be authorized to start companies with foreign investors.

Labor
questions

Mixed companies and other forms of association still must continue to hire their workforce through State managed programs, which will be in charge of changing the workers´ salaries into Cuban pesos since they will still be paid in convertible pesos.

In reference to controversies between laborers and employers, the Cuban government will still reserve the authority to mitigate any conflict on Cuba soil, except when agreements are set otherwise.

Also, businesses will still be able to continue to export and import without it being necessary for any State organ or other intermediaries to intervene.

Special Development Zone in Mariel
The Special Development Zone in Mariel, a container port on the West side of the island, will have its own fiscal laws, which are quite a bit more favorable than those stipulated for the rest of the companies and activities in the new Foreign Investment Law.

The port at Mariel is one of the most ambitious projects of the Government of Raúl Castro to modernize the economy of the Caribbean island by opening a space for private initiatives and foreign capital.

The Administration wants to construct a large industrial park where foreign companies will have generous fiscal exemptions and will be able to take advantage of the qualified workforce that exists in the Latin American country.

Brazil is one of the main sources of foreign finance in Cuba. For the modernization of the port of Marial, the Banco Nacional de Desarrollo Económico y Social (BNDES) has already invested some 700 million dollars, a quantity that could increase depending on the number of Brazilian companies that join in the construction process.
