Límite de dos millones de euros en la captación por proyecto de crowdfunding

Las plataformas de crowdfunding no podrán captar más de dos millones de euros por cada proyecto y tendrán que contar con un capital social inicial de 60.000 euros, según han detallado fuentes del Ministerio de economía.

Las fuentes han reconocido que la captación de financiación para cada proyecto se podría fraccionar para esquivar este límite, si bien han asegurado que no existe un "excesivo temor" ante este supuesto. En cuanto a los requisitos de acceso, desde economía han defendido que son "muy reflexionados" y han asegurado que no parece un "obstáculo elevado" para estas plataformas.

En este sentido, han precisado que se ofrece la alternativa de un seguro de responsabilidad civil por posibles daños en su actividad. "No queremos llegar tarde a la regulación", han afirmado desde el departamento dirigido por Luis de Guindos.

El Gobierno ha realizado un análisis "profundo" de las regulaciones en los países punteros en crowdfunding, como Estados Unidos y Reino Unido, con el fin de garantizar una protección razonable del inversor y evitar fraudes "masivos". Además, el Ejecutivo persigue responder a las peticiones del sector para ganar más confianza de los inversores.

Techo de capitalización para operar en el MAB
El proyecto de ley de Fomento de la Financiación Empresarial aprobado este viernes por el Consejo de Ministros también fija un techo de capitalización de 500 millones de euros para operar en el Mercado Alternativo Bursátil (MAB). Fuentes de economía han concretado que este valor bursátil se tendrá que dar de forma continuada durante seis meses.

El proyecto se acaba de remitir a la Cortes para su tramitación y es considerado como una de las últimas piezas de la reestructuración financiera para incentivar la fluidez del crédito hacia la economía.

Crowdfunding platforms will not be allow to capture more than two million euros per project and will have to start with 60,000 euros in initial social capital, according to information of the Spanish Economy Ministry.

The sources of this information did recognize the fact that
capturing funding for each project could be split so as to get around that limit,
but they said there wasn´t “too much fear” for that to happen. In terms of the market access requirements, the source from the Economy Ministry said those limits were “closely studied” and were sure that it would be a “high barrier” for these platforms.

In that sense, they said there is an alternative available to insurance for civil responsibility for possible damages due to their activities. “We don’t want to arrive too late to regulate,” said the sources from the Ministry led by Luis de Guindos.

The Spanish government carried out a “Deep” analysis of the regulations in crowdfunding pioneer countries, like the U.S. and the UK in order to guarantee a reasonable amount of investor protection and to avoid “massive” fraud. Furthermore, the executive branch of the government is looking to respond to petitions from the sector in order to earn investors´ trust.

Capitalization ceiling to operate on the Alternative Stock Market
The draft bill on the Encouragement of Business Financing Law that was passed on Friday by the Council of Ministers also set a ceiling of 500 million euros in capitalization to be able to operate on the Alternative Stock Market (MAB). Sources from the Economy Ministry specified that this market value will have to be maintained continuously for six months.

The draft bill has been sent to Parliament to be processed and is considered as one of the final pieces of the financial restructuring plan to provide incentives to increase credit liquidity in the economy.
